Welcome to PeopleFactor. These Terms of Service ("Terms") govern your use of our products, services, and platform provided through www.peoplefactor.in and its associated applications and solutions. By using our services, you agree to be bound by these Terms.
All employee, HR, business, and operational data uploaded or processed through PeopleFactor remains the exclusive and confidential property of your organization.
PeopleFactor does not claim any rights over your data.
Any analysis, reports, studies, compilations, or insights generated using your data also remain your IPR.
Publicly available company details are considered non-confidential and not covered under NDA.
PeopleFactor may only access and use your confidential data for purposes directly related to the provision of our services ("Transactions"), including:

These Terms also function as a standard Non-Disclosure Agreement (NDA), valid for 1 year and auto-renewed annually unless terminated in writing by either party.
Any changes to these confidentiality terms must be mutually agreed upon in writing.

Pricing: As per the agreed contract or as published online, subject to an annual price revision of up to 10%.
Your organization is solely responsible for the accuracy, completeness, and timely entry of employee and HR-related data into the system.
Any errors or modifications in employee records must be made by authorized personnel from your team.
PeopleFactor will not be liable for discrepancies arising from data entered by your users.
Services are considered active from the date of onboarding or platform provisioning.
Minimum tenure: Three (3) calendar months.
Either party may terminate with:
Non-payment beyond 60 days may lead to service suspension or termination.
PeopleFactor operates as an independent contractor and not as an agent, employee, or joint venture of your organization.
You agree not to:
Violation of this section may lead to immediate termination.
We commit to a 99.95% uptime SLA for our hosted cloud services. Exceptions include:
Payments must be made within 7 days of invoice or as per contract.
Disputes must be raised within 7 days of invoice issuance.
Inactive accounts re-engaging after discontinuation may incur reactivation fees if re-initiated within 12 months.
Applicable taxes (GST, service tax, professional tax, etc.) are to be handled as per prevailing government norms.
Your organization is responsible for any payroll tax filings related to employee salaries managed via PeopleFactor.
All disputes shall be resolved under the Indian Arbitration & Conciliation Act, 1996, with the venue at Mumbai, language being English.
Each party agrees to act in good faith to resolve any dispute amicably before invoking arbitration.
PeopleFactor may display your company logo and name in our client list, marketing, or investor presentations.
You may do the same with PeopleFactor's logo with prior notice.

You agree to indemnify and hold harmless PeopleFactor and its partners from any claims, liabilities, or losses arising from:
PeopleFactor may share anonymized and non-personally identifiable insights with third parties to improve services.
We may disclose data to comply with legal obligations or enforce our legal rights, with appropriate safeguards.
We reserve the right to update these Terms. Any changes will be posted on this page, and material changes will be communicated to you. Continued use of our services constitutes acceptance of the revised Terms.
